1. Acceptance of Terms

By accessing or using the services provided by ADB Technology FZCO ("ADB", "we", "us", or "our"), including our website adbtech.ai, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

ADB provides enterprise AI solutions, including but not limited to:

• AI-powered media intelligence platforms (AISEE)
• Voice intelligence and radio monitoring solutions
• Clinical AI assistant platforms (VoithAI)
• Custom AI development and consulting services
• Data engineering and architecture services

3. User Accounts

To access certain services, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and complete registration information

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our services
• Engage in any activity that could harm ADB or its users
• Use our AI systems for unlawful surveillance or discrimination

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are the exclusive property of ADB or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services without our prior written consent.

6. AI Services and Data

When using our AI-powered services:

• You retain ownership of your input data
• We may use anonymized data to improve our services
• AI outputs are provided "as is" and should be reviewed before use
• You are responsible for ensuring AI outputs comply with applicable laws
• We do not guarantee the accuracy of AI-generated content

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these terms.

8. Payment Terms

For paid services:

• Fees are as quoted in your service agreement
• Payment is due within 30 days of invoice unless otherwise specified
• Late payments may incur interest charges
• All fees are non-refundable unless otherwise stated
• We reserve the right to suspend services for non-payment

9. Service Level Agreement

For enterprise customers, specific service levels, uptime guarantees, and support terms are defined in your individual Service Level Agreement (SLA). In the absence of a specific SLA, we strive to maintain 99.9% uptime for our cloud services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these terms shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify, defend, and hold harmless ADB and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services or your violation of these terms.

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these terms. Upon termination, your right to use our services will cease immediately.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
